Gimmie AI Terms of Service

1. Acceptance of Terms
By installing or using the Gimmie AI Shopify App and widget (collectively, the "Services"), you agree to be bound by these Terms of Service (the "Agreement"). If you do not agree, do not use our Services.
2. Description of Services
Gimmie AI provides an AI-powered gift recommendation widget for Shopify stores. The widget offers personalized gift suggestions based on customer preferences, AI analysis, and the merchant's product catalog. Gimmie AI is not responsible for fulfilling, shipping, or guaranteeing any products displayed through the widget.
3. Shopify App and Widget Integration
Merchants installing the Gimmie AI Shopify App grant Gimmie the right to embed its widget into their storefront via Shopify's Theme App Extension system. This widget may access and index product metadata (title, price, description, images, variants, tags, collections) for use in AI-powered recommendations.
The widget is enabled through the merchant's theme customizer and can be configured for:
- Position (bottom-right or bottom-left)
- Button color
- Button text
4. Display and Promotion of Products
Merchants expressly grant Gimmie AI the right to feature, display, and showcase any and all products made available via the widget on Gimmie's platform and marketing materials. Gimmie does not claim ownership over these products, nor does it take responsibility for their accuracy, shipping, handling, or return policies.
5. Subscription Plans and Billing
5.1 Available Plans
Gimmie AI offers the following subscription plans:

5.2 Billing Cycle
- All plans are billed on a 30-day cycle via Shopify's billing system
- Monthly subscription fees are charged in advance
- Conversation limits reset at the start of each billing cycle
5.3 Affiliate Commission
In addition to monthly subscription fees, Gimmie charges an affiliate commission on orders attributed to our widget:
- Commission is calculated as a percentage of the order value for products recommended by the widget
- Commission rates vary by plan (4%-10% as shown above)
- Commission is capped at $10,000 per month per plan
- Commission is charged via Shopify's usage-based billing
5.4 Commission Billing Schedule
- Commission charges are processed every 30 days during active subscription
- At cancellation, all pending commission is charged immediately
5.5 Conversation Limits
- Each plan includes a monthly conversation limit
- When the limit is reached, the widget will display a notification to upgrade
- New conversations are blocked until the next billing cycle or plan upgrade
- Unused conversations do not roll over to the next month
5.6 No Refunds
All subscription fees and commission charges are non-refundable. This includes:
- Partial month usage
- Plan downgrades
- Unused conversation limits
- Cancellation mid-cycle
Exceptions may be made at Gimmie's sole discretion for billing errors or extended service outages.
6. Cancellation and Termination
6.1 Merchant-Initiated Cancellation
You may cancel your subscription at any time through the Gimmie billing page in your Shopify admin.
6.2 Cancellation by Plan Type
Base Plan (Free):
- Cancellation is immediate
- Widget stops functioning immediately
- All pending commission is charged at cancellation
Starter, Growth, and Premium Plans:
- 30-day grace period from your subscription start date
- Widget remains active during the grace period
- Commission continues to be charged during the grace period
- After 30 days, the widget is deactivated
6.3 What Happens When You Cancel
- Your Shopify subscription is cancelled (no proration or refunds)
- For paid plans: A 30-day grace period begins
- Widget continues to work during the grace period
- At the end of the grace period (or immediately for Base plan):
- All pending commission is charged
- Widget is deactivated on your storefront
- Your plan is cleared from our system
6.4 Data After Cancellation
- Store settings: Deleted within 48 hours of app uninstallation
- Product catalog: Retained for 30 days (in case you reinstall), then deleted
- Conversion/commission records: Retained for 7 years (financial compliance)
6.5 Gimmie-Initiated Termination
Gimmie reserves the right to immediately suspend or terminate your access if you:
- Violate these Terms of Service
- Engage in fraudulent activity
- Fail to pay outstanding charges
- Use the widget for prohibited purposes
7. Referral Program
7.1 Program Overview
Merchants can earn free months by referring other merchants to Gimmie AI.
7.2 Earning Referral Credits
- Each merchant receives a unique referral code
- When a new merchant uses your code and activates billing, both parties receive 1 free month
- Referrer receives: 1 free month of Growth plan (or Premium if already on Premium)
- Referee receives: 1 free month of Growth plan
7.3 Eligibility
To BE referred (referee):
- Must have never activated Gimmie billing before
- Cannot have already used a referral code
- Cannot be on yearly billing
To refer others (referrer):
- Any merchant with an active Gimmie installation
- No limit on number of referrals
7.4 Credit Usage
- Credits are applied automatically to your next billing cycle
- During free months, only commission is charged (no subscription fee)
- Credits are plan-specific and cannot be transferred between plans
- Multiple credits can be stacked (e.g., 5 referrals = 5 free months)
7.5 Credit Forfeiture
Credits are permanently forfeited if you:
- Upgrade to a higher plan (plan-specific credits don't transfer)
- Switch to yearly billing
- The credits expire unused after 12 months
7.6 Automatic Downgrade
If you were upgraded to a higher plan via referral:
- After your free month expires, you will be automatically downgraded to your original plan
- You will receive warnings at 7 days and 1 day before expiration
8. Data Collection and Use
8.1 Customer Data
When customers interact with the Gimmie widget, we collect:
- Preference data (gift recipient, occasion, budget)
- Interaction data (clicks, product views)
- Session tokens (anonymous identifiers)
We do NOT collect customer names, emails, phone numbers, or addresses.
8.2 Merchant Data
Through the Shopify API, we access:
- Product catalog (titles, prices, descriptions, images)
- Order data (for commission attribution)
- Shopify customer IDs (numeric identifiers only)
8.3 Data Usage
All data is used solely to:
- Provide AI-powered gift recommendations
- Calculate affiliate commission
- Improve our recommendation algorithms
- Provide analytics to merchants

9. Merchant Responsibilities
9.1 Product Data Accuracy
You are responsible for:
- Ensuring your product catalog is accurate and up-to-date
- Providing accurate pricing and availability information
- Updating product information when it changes
We are not responsible for recommendations based on inaccurate product data.
9.2 Order Fulfillment
You remain fully responsible for:
- Order fulfillment and shipping
- Customer service and support
- Refunds and returns
- Product quality and accuracy
Gimmie does not handle customer disputes or order issues.
9.3 Widget Configuration
You are responsible for:
- Enabling and configuring the widget in your theme
- Testing the widget on your storefront
- Ensuring compatibility with your theme and other apps
9.4 Prohibited Uses
You may NOT use Gimmie to:
- Sell illegal, counterfeit, or prohibited products
- Manipulate commission tracking (fake orders, test purchases)
- Resell or white-label Gimmie's widget
- Reverse-engineer or scrape our recommendation algorithms
- Use the widget for non-gift product discovery purposes
10. Limitation of Liability
10.1 Service Availability
Gimmie strives for high uptime but does not guarantee uninterrupted service. We are not liable for:
- Temporary service outages or maintenance
- Third-party API failures (Shopify, OpenAI)
- Network connectivity issues
10.2 Recommendation Accuracy
Our AI recommendations are provided "as-is." We do not guarantee:
- Increased sales or conversion rates
- Customer satisfaction with recommendations
- Accuracy of product matching
10.3 Maximum Liability
IN NO EVENT SHALL GIMMIE'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO GIMMIE IN THE 12 MONTHS PRECEDING THE CLAIM.
10.4 Disclaimer
THE SERVICES ARE PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11. Changes to These Terms
Gimmie may update these Terms of Service at any time. When we make material changes:
- We will update the "Last Updated" date
- We will notify merchants through the Shopify App dashboard
- Continued use of the Services constitutes acceptance of the revised terms
